  • The Counsel – Corporate and Operations has principal responsibility to provide legal support to Blackstone portfolio companies and to Revantage on legal issues and projects that span the breadth of the corporate and real estate operations functions. Being an astute and business-oriented attorney is a key component of the position. This position is based out of Revantage’s headquarters in Chicago, IL.

     

    Revantage Corporate Services was created in August 2017 to provide corporate services consisting of HR, Finance, Tax, Legal, Risk Management and Technology to real estate portfolio companies owned by Blackstone funds, in various sectors including multifamily (LivCor), commercial office (Equity Office), retail (ShopCore), hotel (BRE Hotels & Resorts), and industrial (Link).  As Revantage expands, it could provide services to additional Blackstone companies. 

    As Counsel – Corporate and Operations, one is held accountable to, however not limited to, the following job functions: 

     

    CORPORATE LEGAL RESPONSIBILITIES:

    • Prepare, review and negotiate a broad range of high-value and sensitive commercial agreements, including IT and SAAS contacts
    • Draft corporate resolutions and lead corporate governance function
    • Oversee paralegals in entity formation and management function
    • Prepare documents for, and oversee administration of, Revantage and portfolio company allocation methodology
    • Draft documents related to management equity incentive program (promote program) and provide legal support for administration of program
    • Prepare and maintain delegated authority policies and signatory lists
    • Engage with and respond to stakeholders on miscellaneous corporate legal questions

    REAL ESTATE OPERATIONS RESPONSIBILITIES:

    • Prepare, review and negotiate property management agreements
    • Prepare, review and negotiate property-level operational contracts
    • Assist other attorneys in property operational support function

    OTHER RESPONSIBILITIES:

    • Play lead and support roles in various legal department initiatives, aimed at the implementation of process and technology improvements to build Revantage Legal into a best-in-class legal department.
    • Assist Head of Legal Compliance with oversight of the compliance program.
    • Assist Associate General Counsel with legal support to HR.
    • Support special projects and ad hoc requests of other attorneys.

    QUALIFICATIONS:

     

    The position requires an attorney with at least 5 years of relevant experience and a solid background in complex transactions and general corporate practices. Prior real estate legal experience is desired but not required.  We seek candidates with immediately transferable skills, as well as prior experience in-house and in a large or mid-sized law firm with a sophisticated corporate practice.

     

    Should be able to work as part of a team and also independently.  Must have strong drafting, communication, organization and problem-solving skills.  Knowledge and proficiency with Microsoft Word and Excel required.
